Not sure if you done this or not, but Vista can't upgrade ROM's without doing this tweak.

Also if that doesn't work you need windows xp. I have XP installed through VM Workstation and this works great.

WinXP is highly successful and recommended,Vista still has problems.
BTW,is your phone CID unlocked ?

i've tries many versions of pkg tools but all of them give me error on start
they do not open . but the windows show me the same error on my lap or desktop computers on both xp and vista

I'm trying to (re)flash clockworkmod on my Nexus S. Adb recognises my phone, but fastboot doesn't. It seems that the problem is that I don't have the correct driver (I have the ones from the android sdk). This is what I see:
